Job Title: Senior Paralegal

Location: Remote (*occasional travel required)

Summary:

The Senior Paralegal role works both independently and collaboratively across departments to triage legal requests and coordinate certain aspects of outside counsel work. This individual must be able to follow existing workflows, while being open to strategically evaluate, build, and improve workflows with a focus on consistency, efficiency, and minimizing room for error, to establish goals, to adhere to financial objectives, and to create a culture of compliance.  The role also works closely with the other members of the legal team and senior leadership to provide general paralegal services for Hyperfine, with a focus on drafting, redlining, initial negotiation of, terminating, and maintaining agreements, doing legal research, drafting and maintaining board of directors documents, handling corporate registrations, and any other legal matters that may arise. The work environment is fast paced and interacts with both senior leadership, managers and staff of various departments. The Senior Paralegal will coordinate legal activity among the various teams, legal resources (including staff attorneys and outside counsel attorneys) and track the progress of each work task. Excellent communication skills, and professionalism under stress are required.

Responsibilities:

  • Providing broad-based paralegal support and assistance to in-house counsel
  • Maintain contract database and be responsible for retrieving agreements in our database system. This role will receive request for agreements, determine the type of agreement necessary, and do the initial work to prepare the agreement for attorney review. On review, this role will incorporate changes, and help stakeholders understand the changes in the agreement. Once the agreement is executed, this role will be responsible for archiving the agreement for easy retrieval. This role includes substantive review and analysis to drive agreements to signature.
  • This role is responsible for maintaining the electronic data base for all agreements, ensure it is current, and provide timely reporting to all parties when decisions need to be made on those agreements (such as for renewal, termination, or amendments).
  • Identifying stakeholders, creating agendas, leading and attending conference calls and meetings, and following up on subsequent action items
  • Assist in drafting board and committee UWCs and maintain all board of directors document records
  • You will keep the legal team updated as to the status of existing projects on a regular basis, and escalate projects requiring attorney review to the appropriate team member.
  • You will coordinate with the IT group and learn any new software applications the Company decides to introduce into existing workflows. Your evaluations will be important to determine adoption by Legal.
  • Ability and willingness to learn about other areas of legal work to facilitate moving work projects from outside counsel to in-house. This may be administrative, coordination or substantive in nature.
  • Assist legal team in adoption of company-wide policy mandates, training related to Legal team, and improvement of workflows related to legal procedures.
  • Provide support to Company’s corporate compliance programs and initiatives
  • In the future, you may be asked to supervise one or more other paralegals.

Knowledge & Skill:

  • Ability to maintain relationships and work effectively across all levels of the organization
  • Strong skill with technology and evaluation and implementation of programs
  • Strong legal research, reviewing, and drafting skills
  • Highly detail-oriented with the ability to prioritize and complete mission critical tasks with minimal oversight
  • Experience with MS Office applications required.
  • Experience with IronClad, Westlaw and electronic signature software a plus.

Education/Experience Required:

  • Bachelor’s Degree, Associate Degree, or equivalent work experience.
  • Minimum 8 years of relevant experience in contract negotiating, drafting and management required.
  • Familiarity with a wide variety of agreements and legal documents and legal operations, including budgeting and workflow building highly desirable.
  • Medical device, life sciences, pharmaceutical industry, and/or health care experience a plus.
  • Work experience with SEC and government regulations a plus.
  • Interest in learning new things and expanding your skill set a plus.

Physical Demands:

  • This is a Remote role with occasional travel required to Palo Alto, CA and/or Guilford, CT (e.g., company or team building events)
  • Able to travel when required, and operate tools of the trade (company issued laptop, correspond with team members on your cell phone, etc.)
  • Available nights, weekends, and holidays when needed

Data Sharing

In addition, we limit access to personal information to those employees, agents, contractors, and other third parties that have a legitimate business need for such access.

Deletion
